Welcome to WRKSHP.DEV. These Terms and Conditions ("Terms") govern your use of our website, services, and software solutions provided by WRKSHP.DEV Inc. ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
We reserve the right to modify these terms at any time. Significant changes will be communicated via the email address associated with your account or through a prominent notice on our website. Continued use of our infrastructure after such modifications constitutes your acknowledgement of the modified Terms.
Refers to the software development, consulting, cloud infrastructure management, and design system services provided by WRKSHP.DEV.
Means all data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials that you submit, post or display on or via the Service.
Means the custom code, designs, documentation, and other materials created specifically for the Client under a Statement of Work (SOW).
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by us, in the manner permitted by these Terms.

Upon full payment, WRKSHP.DEV assigns to Client all right, title, and interest in and to the specific Deliverables created under the SOW.
However, WRKSHP.DEV retains all rights, title, and interest in and to its background technology, pre-existing code, open-source libraries, general knowledge, skills, experience, and development tools ("Background IP") used to create the Deliverables. We grant you a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use such Background IP solely as incorporated into the Deliverables.

* Late payments may incur a fee of 1.5% per month on the outstanding balance.
To the maximum extent permitted by applicable law, in no event shall WRKSHP.DEV, its affiliates, agents, directors, employees, suppliers or licensors be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses.
Cap on Liability
In no event shall WRKSHP.DEV's cumulative liability to you exceed the greater of (i) one hundred US dollars ($100.00) or (ii) the amounts paid by you to WRKSHP.DEV in the six (6) month period immediately preceding the event giving rise to such claim.
Either party may terminate the Service agreement with 30 days written notice. Client is responsible for payment of all work performed up to the termination date.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
